‘Holcim Aggregati Calcestruzzi S.r.l. ‘ and ‘Colabeton SpA’ have been considering the possibility of entering into a joint venture agreement , which will entail the conferment of their respective activities in the concrete industry in Northern Italy . This merger and the consequent combination of plants, products, services and know how will result in a better and more effective response to customers’ demands and needs as well as in higher added-value solutions offered in this highly complex market .
The proposed merger envisages that ‘Holcim Aggregati Calcestruzzi’ will transfer the entire company branch operating in the concrete sector , while ‘Colabeton’ shall transfer the business unit operating in Northern Italy , thus establishing an equal-share company , with share capital and Board of Directors equally distributed between the two parties.
The proposed operation was notified to the European Commission Brussels on January 11th, 2017. The Commission has expressed its intention to transfer the related examination to the competent Italian Authority (‘Autorità Garante della Concorrenza e del Mercato - AGCM)’ . The Commission’s decision on the aforementioned transfer is expected to be taken by the first decade of February , while the final decision by the AGCM by the second quarter of the year.
Mrs. Paola Colaiacovo, current CEO at ‘Colabeton’ , and Mr. Calogero Santamaria , current CEO at ‘Holcim Aggregati Calcestruzzi’ both agreed in saying that this operation will result in the creation of various opportunities for growth and in the improvement/increase of products, services and solutions offered to customers operating in the building sector in Northern Italy.
